- Introduction
Welcome to the Subscription Services provided by Intermax Pty Ltd. By subscribing to and using our service, you agree to comply with these terms and conditions. - Subscription Plans
We offer various subscription plans, including, but not limited to, Free, Starter, Basic, Premium, and Enterprise. Each plan has specific features, pricing, and limitations detailed on our website. Subscriptions can be billed monthly or annually, depending on the chosen payment scheme. All subscriptions have a minimum contract term of 12 months and do not carry over or accumulate if renewed after the initial term. - Payment Terms
Subscriptions are billed in Australian dollars (AUD) and can be automatically billed monthly or yearly based on the chosen payment scheme. Payments are processed through the agreed payment methods, and failure to make timely payments may result in suspension or termination of services. - Service Scope
Our service includes Intermax, report generation, consulting and support contract services as specified in your selected subscription plan. These services are designed to help businesses improve productivity and improve accuracy. - Service Availability and Support
We aim to maintain high service availability, although occasional downtime may occur due to maintenance or unforeseen circumstances. Support services, including technical support and service updates, are included in paid subscriptions during the subscription term. Support is available during regular business hours via the contact details specified herein (https://www.intermax.com.au/customer-support-portal/) and may be provided directly by us or through our authorized agents, representatives, subcontractors, or partners. - Client Responsibilities
Clients are responsible for providing accurate barcode data and ensuring their use of the service complies with all relevant laws and regulations. Misuse of the service or providing incorrect information is solely the client’s responsibility. - Confidentiality
Both parties agree to keep all confidential information shared during the subscription term private and use it solely for the purpose of the services provided. Intermax shall have the right to audit client’s records and accounts related to the use of the subscription to ensure compliance with the terms of this Agreement. If an audit identifies a material breach of this Agreement, Intermax may take further action as specified herein, which may include termination of the service and legal action., Intermax shall have the sole right, at its own expense, to take any action it deems necessary to protect its intellectual property rights in the service, which may include termination of the service and legal action against the infringing party. - Audit and Compliance
Clients must maintain accurate records related to the use of services for a period of 5 years following the end of each calendar year or the duration of the Agreement, whichever is longer. If an audit reveals underpayment or non-compliance, the client must promptly rectify discrepancies and reimburse Intermax for any underpaid amounts. - Cancellation and Refund Policy
Clients may cancel their subscription at any time after the 12 months minimum contract terms. Refunds will be issued according to the terms specific to each subscription plan. For detailed information, please contact sales@intermax.com.au. - Liability and Indemnification
To the fullest extent permitted by applicable law, Intermax Pty Ltd shall not be liable for any indirect, incidental, special, or consequential damages, including costs of substitute products or services, loss of profits, or data loss. Our liability is limited to the amount paid by the client in the preceding 12 months before the claim arose. - Liability Cap
Intermax’s total liability under this Agreement shall not exceed the amount paid by the client in the past 12 months at the time the claim arose, whether in single or multiple actions. - Force Majeure
Each party is excused from performance for any period during which they are prevented from fulfilling obligations due to causes beyond their control, including acts of God, strikes, lockouts, or other disruptions. - Termination for Breach
Either party may terminate this Agreement immediately upon written notice if the other party commits a material breach, unless the breach is cured within 30 days after receiving notice in writing to sales@intermax.com.au. - Surviving Obligations
Termination does not relieve either party of any obligations accrued prior to the effective date of termination. - Changes to Terms
Intermax Pty Ltd reserves the right to modify these terms and conditions at any time. Intermax Pty Ltd shall promptly notify clients of any material changes or updates, including those that may affect the use or functionality of the service, via email or through our website. - Governing Law
These terms and conditions are governed by the laws of Victoria, Australia. Each party irrevocably agrees that the courts of Victoria, Australia shall have exclusive jurisdiction to settle any dispute or claim arising out of, related to, or connected with these terms and conditions or the use of our services. - Contact Information

All materials related to the service will be delivered electronically to the client via a secure internet download site. - Renewal Fee
Fees are subject to modification after the completion of one Subscription Term and the renewal of the Agreement. Clients will be notified of any changes before the renewal. - Cooperation in Case of Infringement
The client agrees to cooperate reasonably with Intermax in any legal action, including providing information and assistance as requested. - Disputed Portions of Invoice
If a client disputes any portion of an invoice, they must notify Intermax in writing within 14 days of the invoice date. - Upgrade Discounts
Clients who choose to upgrade their subscription plan or purchase a verifier during their subscription term will receive a discount on the upgrade, reflecting the amount already paid under their current subscription model. - Excess Barcode Verification Fees
Any barcode submitted beyond the maximum quantity permitted under your selected subscription tier will incur an additional fee of $45.00 plus GST per barcode. This fee applies once all allocated barcode verification reports included in your subscription have been used. Excess barcodes will be charged separately and invoiced accordingly.
